Registration of Foreign Companies
If you would like us to attend to the registration of a foreign company in Australia, the following items will be needed:-
1. A certified copy of the Company’s Certificate of Incorporation. That certification must be provided by that country’s equivalent of our ASIC and be no more than 3 months old.
2. A certified copy of the Company’s Constitution. This document must be in English and the certification must be carried out either by that country’s equivalent of our ASIC or by a Notary Public and be no more than 3 months old.
3. A list of the Company’s directors, indicating for each director:- Full name; Residential address (street address, not a postal address); Date and place of birth; Date of appointment as Director; Any other directorships held of public companies or subsidiaries of public companies. If any of the Company’s directors are Australian residents, we shall need to lodge a Memorandum executed by the foreign company stating the powers of those directors.
4. Details of any charges over any of the Company’s Australian-based assets (if any).
5. Registered office of the Company in its country of incorporation.
6. Registered office and principal place of business of the Company in Australia.
7. Full name and residential address of the Company’s local agent, which can be either an individual or a corporation.
We will prepare a Memorandum of Appointment for execution by the Company.
For background, once the above are to hand, further paperwork needs to be prepared which will need to be signed by one of the Company’s Directors. Would you please indicate which Director will be asked to sign that paperwork.
