Changes to Directors
Companies are permitted to operate with one director. Directors are responsible for the proper and prudent operation of the company and are the primary decision-makers.
It is not a good idea to appoint your spouse as a second director of a company - unless they will be actively involved with the business.
Ignorance is not accepted as an excuse for non-compliance with statutory duties and obligations.

Changes to Secretaries
Secretaries for proprietary companies have been optional since 13th March, 2000. Even so, ASIC requires to be notified on appointment or resignation of a company secretary.

Changes to Public Officer
The public officer is the point of contact for the Australian Tax Office (ATO) and must be appointed within three months of registration of a proprietary company. The ASIC does not need to be notified of the public officer, however the ATO does. The ATO also needs to be advised of any changes to this role.
